Regulations of the 7SUN Supplier Offers Module

§ 1. Purpose of the offers module

  1. The supplier offers module is used to submit wholesale offers to 7SUN, in particular container offers, pallet offers and offers concerning stock available immediately.
  2. The purpose of the module is to streamline the process of obtaining current offers directly from Suppliers and to enable their further handling in the 7SUN B2B channel.

§ 2. Supplier status

  1. Access to the offers module may be granted only to a registered and approved Supplier.
  2. 7SUN reserves the right to verify the Supplier before account activation and to refuse account activation without being obliged to provide a reason.
  3. The term “Supplier” means a company that submits to 7SUN an offer for the sale of goods, in particular photovoltaic modules, inverters or energy storage systems.

§ 3. Adding offers

  1. The Supplier may submit offers:
    1. manually via the panel,
    2. in bulk via a file,
    3. via a product feed,
    4. via API,
    5. via a 7SUN employee acting on behalf of the Supplier,
    6. in another format agreed with 7SUN.
  2. Adding an offer to the system does not mean that it will be automatically published or accepted by 7SUN for execution.
  3. Each offer may be subject to manual verification and approval by 7SUN.

§ 4. Validity of offers

  1. The Supplier undertakes to submit only offers that are current, true and possible to execute.
  2. The Supplier should promptly update the offer in the event of a change in price, quantity, availability, delivery time or other material commercial terms.
  3. 7SUN may mark offers with the date of addition or update and remove, hide or archive offers that are no longer current.
  4. 7SUN may also require periodic confirmation of the validity of an offer.

§ 5. Verification and approval of offers

  1. 7SUN has the right to verify offers from a commercial, organisational and logistical perspective.
  2. Verification may include in particular:
    1. checking the completeness of data,
    2. assessing the realism of the price and availability,
    3. checking the basic parameters of the offer,
    4. assessing the logistical possibility of executing the order,
    5. contacting the Supplier in order to confirm the terms.
  3. 7SUN may approve the offer, reject it, hide it, modify the way it is presented or ask the Supplier to provide additional information.

§ 6. No automatic publication

  1. Submission of an offer by the Supplier does not mean that the offer will be automatically published to B2B customers.
  2. 7SUN decides which offers will be made available to customers, to what extent and under what conditions.
  3. 7SUN may present selected information about an offer to users who are not logged in, while full commercial data may be available only to logged-in B2B customers.

§ 7. Supplier contact details

  1. The Supplier’s contact details are not published publicly.
  2. These details are visible to 7SUN and are used solely for handling cooperation, verifying offers, communication and carrying out the commercial process.
  3. 7SUN may restrict direct contact between the B2B customer and the Supplier if this is justified by transaction security or the adopted cooperation model.

§ 8. Transaction execution model

  1. 7SUN executes transactions under a model in which the goods provided by the Supplier first go to the 7SUN warehouse.
  2. Only after the goods have been accepted into the 7SUN warehouse or after the logistical terms have been confirmed does 7SUN execute the further sale to the B2B customer.
  3. The purpose of this model is to increase transaction security, reduce the risk on the customer’s side and ensure greater control over the sales and logistics process.

§ 9. Goods in the 7SUN warehouse

  1. If a transaction is agreed, the Supplier delivers the goods to the warehouse indicated by 7SUN.
  2. Acceptance of the goods into the warehouse may include basic quantitative and logistical verification.
  3. Acceptance of the goods into the 7SUN warehouse does not automatically mean confirmation of the product’s full technical compliance, unless the parties agree otherwise.
  4. Detailed terms of delivery to 7SUN, liability, logistics costs, transport risk and the moment of transfer of ownership should be agreed each time between 7SUN and the Supplier.
  5. Further sale to B2B customers is carried out as standard from the 7SUN warehouse under the EXW Katowice formula, unless the parties agree on another execution model.

§ 10. Prices and margin

  1. The Supplier provides 7SUN with the prices and commercial terms of its offer.
  2. 7SUN has the right to determine its own sales terms for B2B customers, including its own margin, commission, method of price presentation and order execution terms.
  3. The Supplier does not independently determine the final sale price for 7SUN customers, unless the parties agree otherwise.

§ 11. Customer inquiries

  1. Customer inquiries concerning offers may be submitted to 7SUN and handled by the 7SUN sales team.
  2. 7SUN may provide selected information to the Supplier if this is necessary to confirm availability, terms or the possibility of executing the order.
  3. Leads and customer inquiries remain handled within the 7SUN commercial process.

§ 12. Technical integrations

  1. In the case of ongoing cooperation, 7SUN may enable the transfer of offer data via API, product feed or another agreed data format.
  2. Technical integration is intended to streamline the updating of prices, quantities, availability and other offer information.
  3. The scope of integration, data format, update frequency and responsibility for data correctness are determined individually.

§ 13. Responsibility for offer data

  1. The Supplier is responsible for the truthfulness, validity and completeness of the data provided to 7SUN.
  2. The Supplier should promptly inform 7SUN of any change that affects the possibility of executing the offer.
  3. 7SUN is not responsible for outdated or untrue data provided by the Supplier, unless liability results from mandatory provisions of law.

§ 14. Removal or blocking of offers

  1. 7SUN may remove, hide, block or archive an offer, in particular when:
    1. the offer is no longer current,
    2. the offer contains incorrect data,
    3. the Supplier does not confirm the availability of the goods,
    4. the offer violates the cooperation rules,
    5. the offer is inconsistent with the 7SUN sales profile,
    6. there is a risk of misleading the customer,
    7. 7SUN considers that the offer should not be presented to B2B customers.

§ 15. No obligation to execute the offer

  1. Publication or approval of an offer in the 7SUN system does not mean that 7SUN is obliged to purchase the goods from the Supplier.
  2. A transaction is concluded only after separate confirmation of the terms by the parties.

§ 16. Changes to the cooperation rules

  1. 7SUN may change the operating rules of the offers module, the way offers are presented, the approval conditions and the scope of available functions.
  2. Suppliers may be informed of significant changes in a manner adopted by 7SUN, in particular by e-mail, a message in the panel or an update of the regulations.
